Upgrade Shopping Program Terms & Conditions

The Upgrade Shopping Program, or the “Program”, made available by Upgrade, Inc. (“Upgrade”) offers two types of deals: Cashback Deals and Other Deals. “Cashback Deals” are Powered by Dosh® and are available to all eligible Upgrade Card customers and Rewards Checking account customers with an open account in good standing. “Other Deals,” are available to eligible customers with an open Upgrade online account in good standing. By participating in the Upgrade Shopping Program, you acknowledge that you have read, understand, and agree to be bound by these Upgrade Shopping Program Terms & Conditions (the “Terms and Conditions”). 

Cashback Deals

The Cashback Deals program is offered through the Upgrade Shopping Powered by Dosh® program, which allows eligible customers to accrue cash back on qualifying purchases at participating merchants. For the current list of participating merchants and offers available to you under this program, go to Upgrade Shopping – Cash Back Deals on your Upgrade account dashboard. Participating merchants and offer terms may be changed from time to time without notice. 

For Upgrade Card customers: After a qualifying Upgrade Card purchase has settled, your cash back will generally be applied to your Upgrade Card balance after your next scheduled monthly payment at a time and manner determined in Upgrade’s sole discretion and subject to change. If you do not have a balance and for as long as your Upgrade Card account is open, you may elect to have cash back applied as a deposit into your bank account on file. Cash back rewards are redeemed once applied. Cash back rewards applied to your balance will not otherwise reduce the amount of your regular monthly payments.

For Rewards Checking or Rewards Checking Plus (together “Rewards Checking”) account customers: After a qualifying Rewards Checking debit card purchase has settled, your applicable cash back will generally be credited to your Rewards Checking account within 7-14 days but can take up to 90 days depending on the merchant.

If you return, chargeback, cancel, dispute, or otherwise request a refund for a qualifying purchase for which you have already received Upgrade Shopping cash back, we reserve the right to remove any related cash back amount from your Upgrade Card or withhold future cash back to cover any such amount.

This program operates separately from other Upgrade Card Cash Back Rewards Program(s) and Rewards Checking Reward Programs. You may get rewards through Upgrade Shopping in addition to other rewards offers you may have with your Upgrade Card or Rewards Checking debit card. 

Other Deals

This program is also offered through Upgrade Shopping under “Other Deals” and is available to eligible customers with an open Upgrade online account in good standing. Each Other Deal offer is made available to you by participating merchants and Upgrade is not responsible for redemption of any such Other Deal offer. Under this program, eligible customers will have access to all deals that are available on the Upgrade Shopping Program except for Cashback Deals, which are only available to Upgrade Card and/or Rewards Checking account customers. For the current list of participating merchants and offers available to you under this program, go to Upgrade Shopping – Other Deals on your Upgrade account dashboard. Participating merchants and offer terms may be changed from time to time without notice. 

For Other Deal offer specific terms applicable to Other Deals, please review the merchant’s applicable terms and conditions for the applicable deal offer. Participating merchants, in their sole discretion, establish the terms and conditions for each deal and determine whether you have satisfied such terms and conditions. When you click on each deal, you will be provided with the merchant’s specific terms which may contain additional requirements for activation or redemption. Your purchase must satisfy all the requirements of the specific deal in order to qualify for it. When you are redeeming a deal with a participating merchant, you should review each merchant’s website privacy policy, as Upgrade has no control over information you submit to these third parties. If you have any questions or concerns regarding a specific deal, please contact the merchant directly. 

Miscellaneous

By participating in the Upgrade Shopping Program, you understand and agree to the following: 

  1. Prohibited Uses. You represent and warrant that you will not access or use the Upgrade Shopping Program to engage in any illegal, fraudulent, or other illicit activity.
  2. Trademarks.  All trademarks are the property of their respective owners.
  3. Changes to Program. Upgrade may revise these Terms and Conditions from time to time in its sole discretion. The revised version will be effective at the time it is posted on this webpage, provided that we will notify you of any change when required by applicable law, either to the email address associated with your Upgrade account or by other such method as Upgrade may designate. Please regularly check this webpage so you are aware of any changes. By continuing to participate in the Upgrade Shopping Program after the effective date of any changes, you thereby agree to such changes in these Terms and Conditions. If you do not agree to these Terms and Conditions, or any revised version of these Terms and Conditions you may opt out as further detailed below. 
  4. Warranty Disclaimer; Limitation of Liability. The Upgrade Shopping Program and any related program content is provided “as is.” Upgrade and its bank partners (https://www.upgrade.com/bank-partners/), and their respective affiliates, directors, officers, employees, agents or contractors (together, “Upgrade Parties”) make no representations or warranties concerning the Upgrade Shopping Program or any related program content, either express or implied, including, without limitations, warranties of title, merchantability, fitness for intended use or a particular purpose, non-infringement, and otherwise arising by law, custom, usage, trade practice, course of dealing or course of performance. Upgrade Parties do not warrant that the functionality or availability of the Upgrade Shopping Program and any related program content will be uninterrupted or error-free, that defects will be corrected, or that they will be free of viruses or other harmful components. TO THE EXTENT ALLOWED BY APPLICABLE LAW, IN NO EVENT WILL UPGRADE PARTIES BE LIABLE TO YOU OR TO ANY OTHER PARTY FOR ANY DIRECT, INDIRECT, OR ANY OTHER SPECIAL, CONSEQUENTIAL, INCIDENTAL, DAMAGES, INJURY, CLAIM, OR LIABILITY OF ANY KIND ARISING FROM YOUR USE OF THE UPGRADE SHOPPING PROGRAM, EVEN IF THE UPGRADE PARTIES ARE AWARE OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  5. Termination of Program. We may, without prior notice or liability to you, discontinue the Upgrade Shopping Program or modify the program by adding or removing features or functionalities, subject to applicable law. 
  6. Tax. You will be solely responsible for any and all tax liability arising out of the Upgrade Shopping Program. Please consult Your tax advisor.

Opt out

If you do not agree with the Terms and Conditions, you can opt out of the Upgrade Shopping Program by emailing Upgrade customer service at support@upgrade.com or by calling customer service at (833) 574-0901. Please note that opting out is permanent and will apply to all current and future Upgrade accounts eligible for Upgrade Shopping. Once you opt out, you won't be able to earn rewards through Upgrade Shopping Program on any existing Upgrade accounts and any new Upgrade accounts will not be enrolled in the Upgrade Shopping Program.
